The specific scope, deliverables, timeline, and pricing for any engagement will be outlined in a separate project agreement, proposal, or statement of work provided to you prior to the commencement of work.
3. Free Website Plan
We offer a complimentary website plan (“Free Plan”) to prospective clients. The Free Plan is provided at no cost and with no obligation to purchase any paid services. The Free Plan is the intellectual property of Valpo Web Design until a paid engagement is entered into. We reserve the right to discontinue or modify the Free Plan offering at any time.
4. Project Agreements and Payment
All paid engagements are governed by the written project agreement between you and Valpo Web Design. Payment terms, deliverables, revision rounds, and timelines will be specified in that agreement. Unless otherwise stated in writing:
- A deposit may be required before work commences.
- Remaining balances are due upon project completion or as specified in your agreement.
- Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
- We reserve the right to pause or withhold delivery of work until outstanding balances are settled.
5. 10-Day Delivery Guarantee
Our 10-day delivery commitment begins on the date you provide written approval of your website plan and all required content, assets, and access credentials. Delays caused by late content submission, unresponsive communication, or scope changes after approval may extend the delivery timeline. In such cases, the 10-day guarantee does not apply.
6. Client Responsibilities
To enable us to deliver your project on time and to the agreed standard, you agree to:
- Provide accurate and complete business information, content, images, and other required materials in a timely manner
- Designate a primary point of contact with authority to provide approvals
- Respond to requests for feedback or approval within 3 business days
- Ensure you have the rights to any content, images, or materials you provide to us
7. Intellectual Property
Upon receipt of full payment, you will own the final website design and content created specifically for your project. We retain ownership of all pre-existing tools, frameworks, templates, code libraries, and proprietary processes used in the creation of your website. We reserve the right to display your completed website in our portfolio and use it for promotional purposes unless you request otherwise in writing.
8. Third-Party Platforms and Services
Your website may be built on or integrated with third-party platforms such as WordPress, Shopify, or similar content management systems. Your use of those platforms is subject to their own terms of service. Valpo Web Design is not responsible for changes, outages, or policy updates made by third-party providers.
9. SEO and Results Disclaimer
We apply proven SEO methodologies to every website we build and maintain. However, search engine rankings are determined by third-party algorithms outside our control. We do not guarantee specific ranking positions, traffic volumes, or revenue outcomes. Past client results shared on our Site are real and documented but are not guarantees of future performance. Results vary by industry, market, competition, and other factors.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Valpo Web Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you to us in the 3 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Valpo Web Design and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, your breach of these Terms, or any content you provide to us that infringes the rights of a third party.
12. Termination
Either party may terminate a project engagement with written notice. If you terminate after work has commenced, you remain responsible for payment of all work completed up to the date of termination. Deposits are non-refundable once work has begun unless otherwise agreed in writing.
13. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Porter County, Indiana.
14. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised effective date. Continued use of our Site or services after changes are posted constitutes your acceptance of the updated Terms.
